Job Summary

Responsible for leading a Finance team of Retail M&A Managers and Analysts responsible for driving growth strategy through acquisitions of independent pharmacies, regional chains, health system pharmacies, and other traditional pharmacy business across the Walgreen Co Division with focus on value creation throughout all aspects of the acquisition process. Responsible for managing all valuation processes and ensures that executed transactions satisfy the Company's short- and long-term financial expectations. Ensures the team is in compliance with all Company financial, capital spend, and script/operational policies.

Responsible for ensuring the collaboration of business units, diligence units, and integration units throughout the division to successfully complete strategic acquisitions and divestitures. Develops and maintains relationships with key internal and external stakeholders, including Retail Finance, Operations, etc. Establishes and executes continual process improvement through review and automation. Supports reporting of all M&A activity, manage the assessment of the quality and quantity of acquisitions (post-closing), while communicating learnings and recommendations to M&A management, advising senior management, Enterprise Operating Committee (EOC) and Board of Directors.

Job Responsibilities

  • Develops and manages Diligence function and processes dedicated to assessing and quantifying qualitative and financial risks associated with M&A transactions. Maintains streamlined/efficient process for obtaining data electronically, analyzing risk, and communicating findings to Business and Finance units for evaluation of deal economics.
  • Develops and manages store transition and integration function for M&A transactions. Ensures efficiency and creativity in the development of integration initiatives, developing and executing programs that maximize retention of acquired assets. Advises local and senior stakeholders on how to successfully integrate acquired/divested assets.
  • Develops the M&A database strategy to include all valuation models and Target Company historic and actual results, post-acquisition, using Hyperion Essbase technology, so reporting for all deals across all business lines can be automated and generated in an efficient manner. Reporting outputs to include synergy tracking, comparison of actual results to projected results, comparison of actual results to historic results, and other reporting as preferred by M&A or Division stakeholders.
  • Manages and performs post-deal analysis for all business lines, including file buys, and other data. Chairs quarterly post-deal meetings with personnel from valuation, diligence, integration and the business owner, in order to identify key lessons and improve future performance. Oversees the tracking of all lessons and ensures that the responsible group implements key lessons on a going forward basis, including 3rd party, AWP, file transfer script review.
  • Develops, manages and oversees delivery of regular weekly, monthly and quarterly reports to M&A, senior stakeholders and the Board of Directors, including but not limited to the following:
    • Monthly M&A pipeline (prospect, negotiation, agreement, closed) reporting
    • Monthly file transfer acquisition pipeline and status reports;
    • Monthly Diligence, Valuation and integration savings reports;
    • 7-14-21 day script retention reporting for file buys;
    • Short-term post-acquisition reporting for all small, medium and large retail acquisitions
    • Quarterly detailed post-deal reporting for all business lines;
    • Quarterly Board of Directors and Enterprise Operating Committee (EOC) post-deal reporting that provides effective guidance on the performance of our key acquisitions, as well as analysis of areas for improvement.
      • Develops strategy and plan to implement real-time reporting of key M&A metrics and develops methodology to create shared reporting among the M&A department so that all members of the group have real-time access to critical information.
      • Reviews, understands and controls final valuation models for all acquisitions, for the purpose of overseeing the analyses for stakeholders and for internal evaluations of prior deals.
      • Manages and guides development of internal reporting for key acquisition metrics that are not currently tracked, such as Cap Ex and Integration costs, so we can evaluate our estimation of these costs during the valuation process.
      • Collaborates with the diligence team to provide leadership, input and support for due diligence. Develops/innovates better ways to conduct due diligence.
      • Builds, develops and maintains positive working relationships with internal/external customers.
      • Develops, mentors, coaches and manages staff ensuring the development of employees through orientation, training, establishing objectives; builds morale and motivation.#LI-JE1

        Basic Qualifications
        • Bachelor's Degree and at least 10 years of experience conducting due diligence and/or working with financial evaluation models.
        • At least 5 years of experience creating Hyperion Essbase cubes and analyzing data using these multi-dimensional cubes.
        • At least 5 years of experience utilizing database tools such as Access, Excel, ACL, Business Objects, SQL and/or Golden.
        • Experience with system life cycle and requirements for designing, testing and implementing a new system.
        • Experience organizing, planning, and prioritizing, including developing specific goals and plans to prioritize, organize, and accomplish assigned work.
        • Intermediate level skill in Microsoft Excel (for example: using SUM function, setting borders, setting column width, inserting charts, using text wrap, sorting, setting headers and footers and/or print scaling).
        • Intermediate level skill in Microsoft PowerPoint (for example: applying a theme, formatting character spacing, inserting a picture, changing slide layout and theme colors, adding transitions, customizing slide numbers, changing chart style and/or formatting font).
        • Intermediate level skill in Microsoft Word (for example: inserting headers, page breaks, page numbers and tables and/or adjusting table columns).
        • At least 2 years of experience contributing to financial decisions in the organization.
        • At least 3 years of direct guidance, indirect guidance and/or cross-functional team guidance.
        • Willing to travel 10% of the time for business purposes (within state and out of state).
          Preferred Qualifications
          • MBA / Master's degree in Finance
          • Experience with project management (for example: planning, organizing, and managing resources to bring about the effective completion of specific project goals and objectives).
          • Experience with Walgreens systems (FI, IC+, Rx DSS, LDB, CLDB, Buyout Tracker, Seibel Systems - Compass/AMS, Store Net, GIS, G/L, Payroll, etc.)
          • Experience working in a Walgreen business unit.
          • Experience with Pharmacy and/or retail finance database tools.
